1. About these terms

These Terms of Service ("Terms") govern your access to and use of elementsai.net (the "Site") and any services we provide. The Site and services are operated by Creative Elements LLC, a Colorado limited liability company doing business as Elements AI ("Elements AI", "we", "us", "our"). By accessing the Site or engaging our services, you agree to these Terms.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Site or engage our services. If you are using the Site or our services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

3. Services

We offer web development, AI automation, content and SEO, custom AI tools, AI training, homelab consultation, and related technology services. Information on the Site is for general informational purposes only and is not a binding offer. Specific scope, deliverables, fees, milestones, intellectual property terms, and timelines for engagements are set out in a separate written agreement, statement of work, or proposal between you and Creative Elements LLC. If those engagement-specific terms conflict with these Terms, the engagement-specific terms control for that project.

4. Acceptable use

When using the Site, you agree not to:

  • Use the Site in any unlawful manner or for any unlawful purpose;
  • Attempt to gain unauthorized access to any portion of the Site, our hosting, or other systems;
  • Probe, scan, or test the vulnerability of the Site or breach any security measure;
  • Submit false, misleading, defamatory, or infringing content through any form on the Site;
  • Send automated requests, scrape, or use bots to interact with the Site at scale;
  • Reverse engineer or copy any portion of the Site or its underlying code.

5. Intellectual property

The Site, including its design, code, copy, graphics, logos, and the "Elements AI" mark, is the property of Creative Elements LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Site without our prior written consent, except for ordinary browsing and printing for personal, non-commercial reference.

Portfolio work shown on the Site is published with each client's permission. Underlying client materials remain the property of their respective owners.

6. Submissions and feedback

If you submit ideas, feedback, suggestions, or other materials to us through the Site or by other means, you grant Creative Elements LLC a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, and incorporate them into our business and offerings without obligation to you.

7. Contact form and consent to communicate

By submitting our contact form or providing your phone number or email, you consent to us responding to you by email or phone about your inquiry. We will not add you to a marketing list without your express opt-in. You may opt out of any non-transactional communications at any time by replying "unsubscribe" or emailing support@elementsai.net.

8. Third-party services

The Site links to or embeds third-party services (for example, Calendly for scheduling and Google Maps). Use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services or content.

9. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATIVE ELEMENTS LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100). FOR PAID SERVICES, OUR LIABILITY IS LIMITED AS SET OUT IN YOUR ENGAGEMENT AGREEMENT.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limits may not apply to you.

11. Indemnification

You agree to indemnify and hold Creative Elements LLC harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

12. Governing law and venue

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law principles. The exclusive venue for any dispute that is not subject to arbitration is the state or federal courts located in Douglas County, Colorado, and you consent to personal jurisdiction there.

13. Informal dispute resolution

Before filing a claim, you agree to try to resolve any dispute informally by contacting us at support@elementsai.net. We will try to resolve the dispute by responding within 30 days.

14. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including for violation of these Terms. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations, indemnification, governing law) will survive.

15. Changes

We may update these Terms from time to time. The "Last updated" date above reflects the latest revision. Continued use of the Site after a change constitutes acceptance of the updated Terms.

16. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver of our right to do so later. These Terms, together with any engagement agreement or statement of work, are the entire agreement between you and Creative Elements LLC regarding the Site.
